Affiliate Terms

Who these terms cover

These terms are between ProfitPanda ("we", "us") and the person or business joining the ProfitPanda affiliate programme ("you").

You must be at least 18 and legally able to enter this agreement. Activating an affiliate link after being shown these terms, or continuing to use an issued link after accepting them, creates this agreement. Contact hello@profitpanda.co.uk with questions before activating.

How referrals are attributed

Whop currently supplies the referral link, attribution record, commission dashboard and payout service. A customer counts as your referral only where Whop records the eligible subscription or transaction against your link. Clicking a link alone does not earn commission.

Whop's attribution record is the starting evidence for a decision, but it is not immune from error. If you dispute attribution, email us within 60 days of the transaction with the referral link, approximate date and any lawful evidence you hold. We will review the record fairly and explain the outcome. Do not send a customer's password, payment-card data or identity documents.

Commission

The current dashboard offers 50% recurring commission on eligible active subscriptions attributed to your link. The rate displayed when you activate applies unless a different written offer applies to you. We will give at least 30 days' notice of a future rate change. A change does not reduce commission already marked as earned.

Commission is calculated on subscription revenue actually received and retained for the attributed purchase, using the eligible amount recorded by Whop. It excludes free trials, failed or reversed payments, refunds, chargebacks, fraudulent or self-referred transactions, and taxes, fees or amounts that Whop excludes from the commissionable amount. If commission was credited before a refund, chargeback or reversal, it may be deducted from pending or future commission. We will not recover more than the affected amount.

The dashboard reports commission and payouts in US dollars. Currency conversion, withdrawal methods, verification, holds and minimums can be set by Whop or its payment partners. An amount becomes withdrawable when Whop marks it available after applicable checks and refund or chargeback periods. We do not promise an earlier date. Contact us if an undisputed amount remains pending for more than 60 days after the related customer payment so we can investigate.

Tax and VAT

You are responsible for declaring and paying tax due on your affiliate income and for providing accurate tax or payout information requested by law or by Whop. Tell us before payment if you are VAT registered. VAT will be handled only where legally due and supported by the required information or invoice; do not add VAT to a commission claim unless agreed.

Marketing rules

Every promotion must be legal, accurate and clearly identifiable as advertising. Make the commercial relationship obvious before or at the point people engage with the promotion, using a prominent label such as "Ad" or "Affiliate link — I may earn commission". A hidden footer or vague label is not enough.

• Do not claim guaranteed profit, risk-free betting, easy money, fixed income or results a typical user cannot reasonably expect.
• Do not target under-18s, people known to be self-excluded or anyone whose circumstances make the promotion irresponsible.
• Do not use spam, unsolicited direct messages, bought mailing lists, harassment, fake reviews, impersonation, misleading comparisons or unlawful/infringing content.
• Do not create fake accounts, make self-referrals, manipulate attribution, use cookie stuffing or cause someone's device to record a referral without informed action.
• Do not bid on "ProfitPanda", our domains or confusing misspellings in pay-per-click advertising, or register domains, social accounts or app listings that impersonate us, without written permission.
• Follow the CAP Code, ASA guidance, platform rules and any advertising or gambling law that applies to your audience.

Send us a copy or link if we ask to review a promotion. We can require a misleading or non-compliant promotion to be corrected or removed.

Brand and content

While this agreement is active, we give you a limited, non-exclusive, non-transferable and revocable licence to use brand assets we supply solely to promote ProfitPanda under these terms. Do not alter the branding in a misleading way, imply that you work for us, speak on our behalf or use material you do not have permission to use. All ownership remains with us or the relevant licensor.

Monitoring, suspension and fraud

We may review referral and marketing records needed to prevent fraud, resolve disputes or check compliance. Keep reasonable campaign and disclosure records for 12 months. We may pause a disputed payout while investigating and may suspend a link immediately where there is credible evidence of fraud, danger, unlawful promotion or a serious platform breach.

Where practical, we will explain the concern and let you respond. A minor breach that can be fixed will normally be given a reasonable correction period. Repeated, deliberate or serious breaches can result in termination. Fraud-linked commission can be cancelled; unrelated earned commission remains payable unless the law permits otherwise.

Ending or changing the programme

Either side can end this agreement by email. We can also close the programme on at least 30 days' notice, except where an urgent legal, security or fraud issue requires faster action. We will not retrospectively reduce commission already earned.

If you leave in good standing or we end the agreement without cause, commission on customers already validly attributed to you continues while their existing subscriptions remain continuously active, unless the customer receives a refund or chargeback or the programme itself closes. No new customer can be attributed after your link is disabled. If we terminate for fraud or a serious uncured breach, future recurring commission can end and affected pending amounts can be withheld, subject to a fair review and applicable law.

Relationship and responsibility

You act as an independent affiliate, not our employee, partner or agent. You cannot make contracts, promises or commitments for us. You are responsible for your own marketing channels and legal compliance.

Each side is responsible for foreseeable loss caused by its breach or negligence. Neither side excludes liability for fraud, death or personal injury caused by negligence, or anything the law does not allow it to exclude. We are not responsible for a Whop outage or payout-provider decision we did not cause, but we remain responsible for our own obligations and will take reasonable steps to investigate issues in our integration.

Privacy, records and confidentiality

Our Privacy Policy explains how we use affiliate identifiers and commission records. Do not collect or share more customer information than is lawful and necessary. Protect any non-public programme, customer or commercial information and use it only to perform this agreement.

General terms

If we do not enforce a term straight away, that does not waive it. If a court finds part unenforceable, the rest continues where it can. No person who is not a party has a right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999. Neither side may transfer this agreement without written consent, except that we may transfer it as part of a genuine sale or reorganisation with notice and continued protection of earned commission.

These terms are governed by the law of England and Wales and the courts of England and Wales have jurisdiction, subject to any mandatory rights that cannot lawfully be excluded. Email hello@profitpanda.co.uk with a complaint. We aim to acknowledge it within five working days and provide a final response within 30 days, or explain why more time is needed.
